AI Generated Image Exploring the Evolution of Pink Sheets: Embracing Transparency

Overview:

In the financial world, stocks once traded in the Pink Sheets have gained prominence, including well-known names like EDS, recent IPOs, and banks. However, many stocks also traded for mere fractions of a penny.

Key Terms:

15c211, Reverse Merger, Direct Public Offering, Regulation D, Pink Sheets

Article Body:

In the financial realm, three kingdoms once reigned supreme. The most prestigious was the New York Stock Exchange (NYSE), known for its affluent global reputation. Every brokerage firm had stock tickers to provide real-time trade information for NYSE-listed stocks.

Next was the American Stock Exchange (AMEX), a less affluent kingdom with fewer and poorer subjects compared to NYSE. They represented the lower middle class of the financial world.

The largest kingdom, however, was the Over-The-Counter (OTC) Market, ranging from middle class to impoverished. Many residents sought to escape its stigma by migrating to NYSE or AMEX.

Several stocks that once traded in the Pink Sheets, like EDS, have gained prominence today, alongside new IPOs and financial institutions. However, stocks could also be found trading for mere pennies.

To get OTC stock prices, brokers would consult the Pink Sheets to identify market makers. They’d call a market maker, who would quote a price from a blackboard?"a time-consuming process.

Market makers relied on quote boys to update blackboards as traders shouted prices, with quotes typically valid for 100 shares. Price disparities often arose, allowing one to buy from one market maker and sell to another at a higher price.

Enter NASDAQ, the NASD Automatic Quotation System?"offering brokers computer-based price views. Though it only showed an average market price rather than the best, it was a significant advancement.

NASDAQ machines didn't provide live quotes; brokers constantly hit the enter key to update prices. As better stocks moved to NASDAQ, obscure and less profitable companies continued trading on the Pink Sheets. The introduction of the OTC Bulletin Board further obscured Pink Sheets.

The OTC Bulletin Board, initially requiring minimal issuer information, gradually demanded audited financials and regular reporting.

Amidst this, Pink Sheets remained in disclosure darkness, not requiring issuers to reveal financial reports. However, on February 15, 2005, a new policy began shedding light. It mandated issuers of newly traded securities to disclose adequate information to investors.

This policy targets companies quoted on an unsolicited basis in Pink Sheets without prior exchange listing or OTCBB quoting. If a broker relies on an exemption to display a quote representing an unsolicited customer order, NASD hasn't cleared a market maker under SEC Rule 15c2-11.

In October 2004, Pink Sheets revised its policy for brokers entering unsolicited quotes in new securities, requiring issuers to publicly share information on their website.

On February 15, 2005, Pink Sheets extended this requirement to previously quoted companies. Non-compliance led to removal from the website.

This policy marks a significant step forward for Pink Sheets, deserving recognition. However, full disclosure should be mandated for all companies. Any company unable to transparently share financial information shouldn’t trade publicly.

Companies operating in darkness enable stock manipulators to exploit investors. While Pink Sheets has made progress, non-disclosing companies must be removed from public trading, a role for the SEC, protecting investors.

We applaud Pink Sheets' policy change and continue our commitment to transparency. At Genesis Corporate Advisors, we now consider Pink Sheets candidates, though OTC Bulletin Board remains our preference for its transparency.

To maintain a healthy market, investors must access current, accurate information.
